Next Steps For Your Home Based Business As A Corporation

Once you've chosen the type of corporation you want for your business, most entrepreneurs are ready to stop worrying about the details and move onto more pressing matters, like developing your product or service, however, there are a few more corporate formalities that must be addressed before proceeding.  As a corporation, you'll be required to hold annual meetings with your shareholders which must be documented.  Also, while this isn't required for LLC's, it's still a good idea; if you ever do run into trouble with your business (IRS audit, legal matters, etc) the more documentation you have, the better.  With corporations, neglecting to properly document these annual meetings can lead to what is commonly referred to as "piercing the corporate veil" which can lead to you, your partners and shareholders being held personally responsible for the debts and liabilities of the business, rather than being shielded by the corporation.  Although this is uncommon, it is a definite possibly when a corporation is mis-managed. 

At this point, the high-D, super driver, entrepreneurial leader in you may want to check-out or simply hire someone to take care of all of these details, and that's really a great idea.  A board of directors is responsible for overseeing the activities of the corporation, but this typically does not mean that they can overrule you when it comes to product decisions.  Giving up the decision making power can be a scary proposition for an entrepreneur, but hopefully if you are able to choose the right team and setup the bylaws appropriately, you'll be able to continually innovate and drive the company while the board of directors watches your back, weighs in on important decisions and protects the company and its shareholders from additional liability.  Additionally, pursuant to the Sarbanes-Oxley act (SOX), many corporations will also employ internal auditors who will ensure that the company is completely above board with all of it's legal and financial actions, this is more important now than before SOX because now board members can face large fines and prison time in the case of accounting crimes.

Different Types of Corporations For Your Home Business

If you're just starting out in business, you may hear the word corporation and think of a huge, multi-department, publicly traded company, but, in fact, even the smallest home businesses can benefit, in many situations, from incorporating.  There are several different types of corporations, each with it's own benefits and drawbacks, as well as legal requirements, so it can be a little intimidating to decide how to incorporate your business, particularly if this is your first time starting a company.  It's a good idea to consult a lawyer or business mentor before beginning the incorporation process, but here's a quick primer that should give you enough info to get started.

General Corporation

This is typically what people imagine when they think of a corporation, and it's the most common type.  General corporations can have an unlimited number of shareholders whose personal assets are protected from the debts and liabilities of the business.  Other advantages of a general corporation include various tax deductions for all kinds of business-related expenses, the corporation continues to live on even after the death of the owners, and raising funds is made relatively easy through the sale of stock.  The disadvantages include a hefty amount of federal and state regulations and a higher cost associated with incorporating than many of the other options.

Close Corporation

A close corporation (or C-Corp), as the name implies, is much more closed than a general corporation.  Most of the rules are the same, however there is generally a maximum number of shareholders in the 30-50 person range and stock must first be offered to existing shareholders before being sold to new ones.

S Corporation

An S-Corp is actually just a different tax strategy for existing corporations to be able to take, and if you are starting a home business, this is one to pay particular attention to.  In a traditional corporation, profits would be taxed at the federal level, then dividends would be paid out to the company's shareholders, who would then report their earnings as income and pay taxes on that income.  You can see how if you were a sole proprietor, you would be subject to paying tax twice on your profits under the general corporation rules.  The S-Corp was created to avoid this double taxation by allowing all gains/losses to be reported once on the personal tax returns of the shareholders.  You can see how this would be difficult for a large corporation with many shareholders, but works perfectly for a sole proprietorship, or a very small group of owners/shareholders.

Limited Liability Company

The LLC is perhaps the best choice for a home business, however, because it takes many of the advantages from all of the above.  Like an S-Corp, LLC's are authorized for pass-through taxation, however an S-Corp has a long list of IRS restrictions that LLC's do not.  LLC's still provide protection of personal assets from business debt and plenty of flexibility at the management level.  Some potential disadvantages are LLC's do not have stock, which may make fund raising more difficult, they cannot exceed 30 years and many states require 2 or more members to form the LLC.

Lessons Learned From Successful Entrepreneurs

Succeeding in business, no matter how big or small, isn't like rolling the dice or winning the lottery, it really in the end always comes down to a combination of talent, hard work, and the humility to always keep learning.  Even for the most wildly successful companies of our time (the Apple's and Microsoft's of the world) while there was certainly an element of 'right place/right time' what allowed their businesses to succeed when so many others were competing in the space was largely due to the skills and abilities of their CEO's.  As a small business owner, you're the CEO (and often, the only employee when you're starting out) so it's important to understand that no matter how good of an idea you have; how strong your business plan is; in the end, the success or failure of your business is going to fall squarely on your shoulders.  With that in mind, here are a few quick insights for the budding entrepreneur.

Do What You Love or Love What You Do

That statement might sound a bit recursive, but what I’m getting at is that if you cannot, for one reason or another, do 'what you love' then you have to learn to love what you do.  Countless studies have found that the affectivity and productivity of people doing what they love to do skyrocket and that should make perfect sense.  Think about the subjects in school that you got the highest marks in; now think about your favorite subjects, are you seeing a correlation?  Now, if you find yourself in the situation where you are stuck doing a job you don't love, your goal is to try and figure out how to love it. 

Fail Harder

A giant mural comprised of over 100,000 thumbtacks sits in the lobby of the immensely successful advertising firm Wieden and Kennedy and greets guests with the somewhat cryptic phrase, "fail harder".  If you start a business and never make a wrong move, hit a brick wall or feel like you're in over your head, then you're either oblivious or incomprehensibly lucky.  Failure, in one form or another, is often the best way to win, and while some may say that you don't have to fail to learn, and I would tend to agree, chances are that over the course of your business, you will make at least one wrong move, or make the right move at the wrong time, and this is where you have an incredible opportunity to learn from the failure, make the necessary adjustments and keep pushing forward until you succeed.

Ultimately, no business startup will pan out the exact same way, but there are definitely trends that you can pick up on if you look at the successful (and even if you look at the unsuccessful) businesses out there.  Learn as much as possible, put the knowledge into action and be sure to keep trying, even when it gets tough.

The typical approach for most first time entrepreneurs is to only bring a lawyer into the situation when they feel it is getting out of hand, however much of the work a lawyer can do for your small business will preempt problems that may arise down the road.  It is not uncommon for a small business to work regularly with a lawyer and in many cases, bringing a lawyer onto the team can be a great idea to keep you legal from the beginning and every step along the way.  This is often cost-prohibitive for new small businesses, however giving away even a small piece of the company (perhaps 1 or 2 percent) will be well worth it if it buys you legal expertise from the outset.

If you neglect to consult a lawyer at the beginning and even decide to draw up your own contracts and foundational documents without a lawyer, if someone decides to take legal action against you and your company, this is where you will absolutely need to seek the help of a lawyer.  Depending on how you incorporated your small business, you may have left yourself liable personally, and if you neglected to properly patent any technologies you are selling in your business, it may be a game ender for your business.  The moral of the story is, find a way to get legal counsel at the outset of your business, if you can’t afford it when you’re starting out, reach out to a relative or friend who is a lawyer and simply asking their advice on which type of corporation to form will help protect you personally if you run into trouble down the road.

The Cost Of Starting A Home Business

Like anything in life, neglecting the small things, when it comes to your business, can ultimately be your undoing.  You can have the smartest idea for a breakthrough product but forgetting to patent your new technology leaves you vulnerable and ultimately all you have left is a product that a big company will come along and scoop up, and you’re right back where you started.

Taxes and fees can also add up when starting a new business.   You’ll need to pay a filing fee for your corporation, fees to the secretary of state (if applicable), and first year franchise taxes.  General excise taxes and quarterly state taxes are ongoing taxes, but will add even more to the initial costs; keep these in mind when planning your first year’s budget.  Hiring a CPA is recommended to make sure that you don’t forget anything and so you can take advantage of any tax breaks specific to your business/industry. 

Fees, taxes and filings can be overwhelming (especially since the majority of entrepreneurs are strong leaders, but not necessarily detail-oriented).  This is perhaps the strongest case for starting a franchise, because the franchisor will provide guidance, assistance and in many cases will handle the initial paperwork and first year budget planning.  If you’re apprehensive about starting your business after reading this article, make sure you look into the option of a franchise and ask the franchisor what support services they provide.

Coffee News franchise establishing themselves as the cream (and sugar) of the crop

William Buckley can tell you first hand that the seeds to entrepreneurship are often found during more difficult times.

Almost 20 years ago, Buckley lost his job with one of Maine’s largest savings banks due to a merger.  After several interim jobs, he discovered Coffee News, a small publication given out in coffee houses and other eateries.  The advertising opportunities intrigued him enough to buy his own Coffee News local territory.

To say he took to this business opportunity would be a bit of an understatement.  Buckley and Coffee News went together like, well, coffee and the morning paper.

It took only a year for the Canadian based company to see something special in Buckley, and offered him the rights to franchise all of the U.S.  Eventually, Buckley would go on to purchase the company and gain control of the world wide publishing and distribution rights.  Coffee News now has 1075 franchisees in over 22 countries.

Coffee News is a weekly restaurant publication delivered free of charge to restaurants, coffee shops, hotels, hospitals, nursing homes, doctors offices, walk in medical clinics, employer break rooms or anywhere people sit, and wait or eat.  Coffee News only has good news and no bad news and is filled with fun interesting stories , jokes and trivia.  Small and medium sized advertisers purchase space in the publication in exclusive ad spaces.  Only one business per industry category and restaurants are not allowed to advertise unless in tourist areas.

Like most home based businesses, franchisees can choose to run their territory on a full or part time basis, but he states that they “prefer full time publishers.  Some stay at home Moms can publish one or two franchises if the children are in school.  On the other hand we have some publishers who own 22 franchises and employ several people. “

With over 1000 territories being run, including home offices in Mexico, Venezuela, Spain, Canada, and New Zealand, franchisees come in all shapes and sizes.  “We look for people who like people, have good sales and networking skills and are self starters,” says Buckley.  “If they have a desire to work for themselves and be independent and make in excess of 100k per year, we would like to talk to them.  We have had some excellent military retirees, and other early retirees who have done extremely well.  They must enjoy going out on the streets to meet the business owners in their stores.”

Business is thriving, up nearly 25% this year alone.  “Coffee News is a  very affordable advertising medium for small to medium sized businesses that do not have large advertising budgets.  People love to read Coffee News.  It is universally attractive so advertisers get great results.”

All this points to a great work from home business opportunity.

According to the Coffee News website, surveys show that the Coffee News publication is read five to seven times.  “It has been proven that people absorb more advertising messages before or during eating, as there is a need for mental input -- food for thought-- during this time period. Coffee News is designed to take full advantage of this fact.”

In 2008 Coffee News purchased a large printing company in Houlton, Maine.  This facility is responsible for printing over 11 million copies of Coffee News a year.  Not outsourcing the printing is one of the many ways the franchisor keeps costs down, making it one of the more affordable franchises to buy into.  To buy into this home based business, a franchisee needs only $8000 for their first territory.  Additional territories are then discounted to $5500.  Financing is also available after the purchase of the first franchise.  The average publisher owns 3 franchises.

To help franchisees reach their potential, free 2 ½ day training sessions are offered led by corporate staff and veteran publishers.  Some topics that may be covered are sales, ad design, billing, collections, distribution, marketing, and startup.  This program is optional to take, however, 95% of existing Coffee News publishers have attended.  Additional support includes mentor programs, personal calls, free Quickbooks software with a built in Merchants services program for charge cards, conferences, newsletters, regional meetings, and online chat groups.

Advertising experience is not a necessity to be a successful Coffee News franchisee.  The operations manual not only teaches how to design ads, but also how ads work, giving the franchisee a better understanding of the business as a whole.  The tools provided will allow franchisees to help small businesses even in trying times, making this a home based business opportunity that can thrive during recessions.

Home Business Tax Strategies

The primary motivating factor for owning your own business is making money, but what good is making money if you don’t get to keep it?  When you factor in income tax, state sales tax, and any of the other taxes you pay, it’s not uncommon to find that by the time you actually spend your money, you’re left with only about 50% of the original amount.  This is because as an employee of a business, every purchase you make is with after tax dollars, and then you are taxed again when you purchase something with those after tax dollars. 

Many people understand the concept of tax-deductible purchases, but as a business owner, you can make those same purchases with pre-tax dollars.  For example: if you needed to buy a computer for your small business, you can purchase this with income from your business and never pay federal taxes on it, whereas as an employee, even if you were able to fully tax deduct that purchase at the end of the year, you would have to get those dollars back in the form of a tax refund. 

Small business owners will also only be taxed on their profits.  This can be a difficult concept for those who have never owned a business before, but consider the following example. 

Joe has a delivery business; he made $100k last year gross; he spends 50% of his gross on fuel, therefore his profit is $50k so he is taxed $15k and is left with $35. 

Sam works as an employee for a delivery business where he has to purchase his own fuel, but is compensated with a higher salary.  He earned $100k last year and spent $50k on fuel, so he paid $28,000 in taxes, $50k in fuel and was left with $22k.

Admittedly, this is an overly simplified example, but you can easily see the tax benefits a small business provides.

For decades, franchises have been a staple of the American economy, but the barrier to entry has typically been several hundred thousand dollars (if not millions).  Franchises offer the stability and success rate of a well known (and well proven) brand and business strategy, while still requiring and employing many of the entrepreneurial skills required to run a startup.  A growing trend in the last few years, however, has been the advent of inexpensive, and highly lucrative, home based business franchises.

An important thing to note when digging further into the world of home based business is to know the difference between legitimate home based businesses and work from home scams.  Drive through any metropolitan area (or browse the web for 20 min for the matter) and you’ll no doubt come across someone claiming that you can make upwards of ten thousand dollars per months working from home without any real effort or skills needed.  Make no mistake, there’s still no such thing as a free lunch, but modern technologies have enabled legitimate home business opportunities, just know what to look for.  You can find legitimate franchises through a reputable franchise broker; unless the franchise you’re looking at has been recommended by someone you personally know and trust, or by a reputable franchise broker that has vetted the franchise and made sure that it’s legitimate, don’t take the risk.  A sure fire way to spot a scam is when you’re promised a lot for very little.  A real home based business will require a lot of hard work to get started, and will require hard work to maintain it.

Choosing the Right Business

Like any big decision in life, choosing the right business is much more complex than simply coming up with a list of pros and cons. Choosing the right home based business should be a decision that you spend some time on, because if you want to be successful, you’re going to have to put a lot of time and sweat into your business, and it will essentially take up the better part of your time for at least the first couple years. Here's a few probing questions to ask yourself that should help you narrow down what the perfect home business is for you.

What Are Your Core Values?
Just about any business coach will tell you that narrowing down your core values personally will not only help you figure out what kind of business to start, but it will keep you on track and give you some common language to refer to when you bring others into the business (particularly investors). For example; if in your own life you place a high value on the environment and living green, you will want to model that in your business as well. This can result in higher costs (buying locally, using green materials, etc.) but depending on the business, you may be able to charge a premium, knowing that your customers also share this value and are willing to pay more for it.

What Are You Willing To Put In?
A business will not build itself, so you need to have realistic expectations for the time and resources that you’re willing to invest in the business to get it off the ground. The earliest stage of a business is often called “friends and fools” because when you first start out, you will have little money and will have to rely on friends helping out and “fools” or people who are willing to invest time and/or money with no guarantee of any payout anytime soon.

What Is Your End Goal?
A common mistake when starting a new business is to build it with the intent to sell the business in a couple years and make millions of dollars. While this would be nice, and it may very well be what happens to your business, setting an exit strategy as the goal for your business is a good way to kill your business before it ever starts. You need to set a goal for your business that will allow it to continue to evolve and grow over time, and you need to invest yourself in it for the long haul. This doesn’t mean that you’re committing the rest of your life to the business, but it will help you to focus on making the business truly great, rather than just building something in order to get rid of it.

MLM or Pyramid Scheme?

MLM stands for Multi-Level-Marketing. Such a program starts with a product or service to sell, yet the way to grow your business is to build a network. If you enlist 3 friends, you receive a percentage of their sales. If they each enlist 3 friends, you are now receiving a percentage of sales from 12 people (the original 3, plus the 9 they brought on).

There are plenty of articles online that will educate you on what to look for in an MLM. A simple search for “What is an MLM?” in Google will probably yield enough results in the first two pages to give you most of what you need. One of my favorite resources is About.com, which has lists of relevant articles under the Entrepreneur section. For starters, check out “Too Good To Be True?” by About.com contributor Scott Allen, which defines 6 criteria you should look for in an MLM. While there, peruse around for more valuable resources.

Most information you will find will heed the warnings of multi-level-marketing. A few to review are at Vandruff.com, and http://www.mlm-thetruth.com. And with good reason. There’s a standard pitch that seems to can prey on what everyone looks for in an opportunity – no selling, unlimited potential, free time to enjoy your new boat.

However, don’t think that all MLM opportunities are ones to stay away from. There have been many companies that implemented this structure and were very successful in doing so. Two examples are Avon and Mary Kay. The best test is to ask yourself if the product or service on its own appears to be valuable and profitable. 1.Think Big, But Not Too Big
Thinking big is essential to starting a new business. You need to have a large goal to aim for when starting your business, both to motivate you to succeed, but also to have something to measure your progress against. If your goal is to eventually make $10,000/month working from home, you can easily see that after a year, if you’re making $2,000/month, you’ve made it to 20% of your goal. Setting your sights too high, however, can have the opposite effect of discouraging you and stopping your business in it’s tracks. Hitting that $10,000/month figure can be a huge achievement, but if you’ve set your goal to make a million per month, that $10,000 will feel like a drop in the bucket.


2.Good Is Good Enough.
French author Voltaire famously said “the perfect is the enemy of the good” and striving for perfection can stop any business in it’s tracks. Along the same lines of thinking big, but not too big, learning to be okay with good is the only way to launch a business and not beat yourself up when you meet small snags. Only a minute percentage of businesses will ever reach the multi-billion dollar status, but when your metric for success is a modest and achievable goal, you set yourself up for success in the long run.


3.Fast Eats Slow
For so long, big business has had the power and girth to annihilate any small business that stood in it’s way. While in many industries this may still be true, the prevailing mantra for small businesses is that fast beats slow, not big beats small. Use your size to your advantage when you’re starting out. Think of the time and energy it would cost just to switch over to a new, more efficient, piece of software at a company of 100,000 employees, but at a company of 5 or 10 people, the cost is negligible, but the benefits can still be huge.

What is the difference between a licensee, distributorship, and a franchisee?

Distributorship - this is when a manufacturer of a supplier of some sort of product requires a 3rd party to market, sell, and deliver that product in a designated area.  A perfect example is that of a beverage manufacturer.  The manufacturer in question may not have the means to distribute their product far from their home offices.  So instead of hiring employees in selected cities, they sell the rights to distribute the beverage in specific territories.  The benefit to the manufacturer is that they do not have to hire an employee and keep tabs on that employee from a far.  They also have a representative that is financially vested, so the chances of losing that representative are far less than if they had an employee in the area.  The downfall to the manufacturer is that they potentially give up some revenue.  But that’s where the benefit to you, the distributor, comes in because that revenue goes right into your pocket.


Licensee - an individual or company that acquires the rights to a legally protected property owned by another individual or company (the Licensor).  The licensee is then free to utilize that property.  The benefits to the licensor and licensee are much same as in a distributorship in that the licensor gives up potential revenue, revenue the licensee ultimately earns, in exchange for a vested partner.


Franchisee - a franchisee is one who purchases a franchise from a franchisor.  In a franchise system, the franchisee must operate under specific guidelines set forth by the franchisor.  Those guidelines include everything from how to operate the business and how to use the company brand name.  Franchisors have much more control over the processes and guidelines that the franchisee function within.   Whereas a licensee or distributor typically pays set fees, a franchisee typically pays a royalty in the form of a percentage of their gross revenue.

Small Businesses may get help from Obama's push for lending

In President Obama's weekly address, he is urging Congress to move quickly to help create more jobs. Several proposals are on the table to make this happen.

President Obama's proposals are:

  • Utilizing the $30 billion in TARP funds to create a new Small Business Lending Fund to provide capital to community banks to increase lending to small businesses
  • Offer a new tax credit for over one million small businesses that hire new workers or raise wages
  • Provide targeted support for the most innovative small businesses with the potential to export new goods and products.

  • Expand the size of SBA backed loans for small businesses
